Business

Russ  has extensive  business and legal experience across a variety of industries, including the software, SaaS, life sciences, financial service, media and technology sectors.  As counsel to public and private companies, he's known as a strategic business partner and legal adviser to leading companies, executives and investors focused on innovation and growth.

For over 20 years, Russ has been a corporate and business transactions lawyer, supporting clients on debt and equity finance, M&A, corporate governance, legal compliance, due diligence, negotiations and related corporate matters. He's worked on corporate matters related to SEC, FINRA, NYSE and NASDAQ regulations. His transactional experience includes venture financing deals, public and private offerings, acquisitions and tender offers, deal management, diligence and commercial contracts. 

Additionally, he's served in senior leadership roles with in house legal departments and on complex business transactions, management and mentoring of junior lawyers and advising corporate boards and executives on business governance and securities compliance matters. He's been particularly interested in helping business leaders untangle complex legal problems and novel business solutions.
